(hereinafter referred to as "OMICRON”)
May 2007

1.   The following Special Terms shall be applicable to all agreements, offers and supplies entered into or made by OMICRON in respect of testing services. In addition to these Special Terms the General Sales Conditions of OMICRON shall always be applicable. In order to become effective, any deviation must be explicitly approved by OMICRON.

2.   For coordination reasons, it is necessary that OMICRON is informed of dates and deadlines at the latest 4 weeks prior to the commencement of the work. Should an appointment be canceled by no later than two days prior to the scheduled measurement, the customer shall not be charged any costs; in case of a later cancellation the customer will be invoiced 100% of the order value. Should the measurements need to be canceled after the arrival at the location or cannot be carried out due to reasons beyond OMICRON's control, for example bad weather, circuit-related or other operational reasons, the time and effort spent will be charged.

3.   The required documents must be made available to OMICRON free of charge at the latest 14 days prior to the commencement of the works; otherwise the work cannot be carried out. These are:

For secondary testing: specific settings, software status of the test objects and, as applicable, the tools for the test objects' upgrade and specific parameterization programs

For primary testing: technical manuals or extracts, basic technical information (e.g. rated power, operating voltages, ratio, rated currents, vector group…), protocols of prior measurements, factory test results, overhaulings/repairs, reconstructions/changes as well as unexpected technical specifics.

4.   For testing services on digital relays it must be ensured that the software version installed at the time of the functional testing/commissioning is the software version for the test object requested by the operator.

5.   The scope of the work offered by OMICRON shall only cover the testing pursuant to the testing program specified in the offer and the preparation of testing protocols. This test is not intended to assess the condition of the entire system. The work shall commence following the release by the customer or the operator of the system. In case of systems in service, the customer shall provide for an expert authorized to operate such systems.  Activation controls of the circuit-breaker shall be carried out only after release has been granted.

6.   The relevant connection points of the test objects have to be accessible at the time of the testing service. The corresponding assembly or disassembly of connector cables, terminal bars, claddings etc. have to be done by the operator of the system. He provides the needed climbing assists, ladders or if applicable a lifting platform.

7.   In case of several contractors working simultaneously, the customer shall ensure the coordination of the works performed and ascertain that OMICRON's employees will be able to start working without delay.  A smooth workflow shall be ensured. Should the above requirements not be fulfilled, OMICRON's employees shall be entitled to leave the site and charge any cost incurred.  OMICRON's employees shall be instructed and trained according to the company specific rules for accident prevention. OMICRON shall not be liable for field shutdowns or malfunctions in connection with the installation or testing which result from faulty systems or documentation.
